Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AgentXchange marketplace at agentxchange.app and related services (the "Service"), operated by Yorkshire AI ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. Acceptance of Terms
By creating an account, browsing listings, installing agents, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
You must be at least 18 years old or the age of legal majority in your jurisdiction to use the Service. If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.
2. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must provide accurate and complete information when creating your account and keep it up to date.
You must notify us immediately at legal@agentxchange.app if you become aware of any unauthorised use of your account.
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk.
3. Marketplace Usage
AgentXchange provides a marketplace for discovering, evaluating, and installing AI agents, MCP servers, skills, and related tools. By using the marketplace, you understand and agree to the following:
You may browse, search, and view agent listings without creating an account. Installing agents or accessing premium features requires an account.
Agents and tools listed on AgentXchange are created by third-party publishers, not by AgentXchange. You install and use agents at your own risk.
While we scan every listing for known security vulnerabilities, we do not guarantee that any agent is free from all defects, vulnerabilities, or malicious behaviour. You are responsible for evaluating the suitability of any agent for your use case.
You agree not to use the Service for any unlawful purpose, to interfere with the Service's operation, to reverse-engineer the security scanning pipeline, or to circumvent access controls.
4. Publisher Responsibilities
If you publish agents, MCP servers, skills, or other tools on AgentXchange, you agree to the following additional terms:
You will not submit code that is intentionally malicious, deceptive, or designed to harm users, their systems, or their data.
You will provide accurate descriptions, documentation, and metadata for your listings. Misleading or deceptive listings will be removed.
You represent that you have the right to distribute all code and content included in your listings and that your listings do not infringe on the intellectual property rights of any third party.
You agree to respond promptly to security issues identified in your listings and to publish updates as needed.
We reserve the right to remove any listing that fails security scanning, violates these Terms, or is the subject of valid complaints.
5. Trust Scores
AgentXchange assigns trust scores to listings based on automated security scanning, code quality analysis, maintenance signals, and community feedback. You acknowledge and agree that:
Trust scores are informational only and are not guarantees of safety, quality, or fitness for any particular purpose.
Trust scores are calculated algorithmically and may change over time as agents are updated and new data becomes available.
A high trust score does not eliminate all risk. You should always exercise your own judgment when installing and running third-party code.
6. Subscriptions and Billing
Paid plans are billed on a recurring basis (monthly or annually) through Stripe. By subscribing, you authorise us to charge your payment method at the applicable rate.
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will continue to have access to paid features until the end of the period you have already paid for.
We do not provide refunds for partial billing periods. If you believe you have been charged in error, contact us at legal@agentxchange.app.
We reserve the right to change pricing with 30 days' notice. Price changes will not affect your current billing period.
Publisher commissions are deducted from sales proceeds before payout. Commission rates are determined by your publisher plan tier.
7. Intellectual Property
The AgentXchange name, logo, website design, scanning technology, and trust score algorithms are the intellectual property of Yorkshire AI. You may not use our trademarks without prior written consent.
Publishers retain ownership of the agents and tools they list on AgentXchange. By listing on the Service, publishers grant us a non-exclusive licence to host, display, scan, and distribute their listings as part of the marketplace.
If you believe content on AgentXchange infringes your intellectual property rights, contact us at legal@agentxchange.app with details of the alleged infringement.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
AgentXchange and Yorkshire AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to damages caused by agents or tools installed from the marketplace.
Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
We do not guarantee uninterrupted or error-free access to the Service. We may suspend or discontinue the Service at any time with reasonable notice.
9. Termination
You may terminate your account at any time by contacting us or using the account deletion feature in your settings.
We may suspend or terminate your account if you violate these Terms, engage in fraudulent or abusive behaviour, or pose a security risk to the Service or its users.
Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including limitations of liability, intellectual property, and dispute resolution) will remain in effect.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the updated Terms are posted constitutes acceptance of the revised Terms.
